These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CNCTASPHR (“CNCTASPHR,” “Company,” “we,” “us,” or “our”) governing your access to and use of https://www.cnctasphr.com and all related features, applications, content, tools, and services (collectively, the “Platform”).

By accessing, creating an account, uploading content, messaging users, joining groups, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

1. Eligibility and Age Requirement

The Platform is strictly limited to individuals twenty-one (21) years of age or older.

By creating an account or accessing the Platform, you represent and warrant that:

You are at least 21 years old;
You have legal capacity to enter into binding agreements;
All information you provide is truthful, accurate, and current;
You will comply with these Terms and all applicable laws.

If CNCTASPHR determines that a user is under 21:

The account may be suspended or permanently terminated;
Associated account data may be deleted from active systems where required or permitted by law;
Repeated attempts to circumvent age restrictions may result in further restrictions.

2. Nature of the Platform

CNCTASPHR is a user-driven hybrid social community platform that enables users to connect, communicate, publish, share, and participate in community-based digital spaces.

The Platform may include features such as:

User profile creation;
Personal and professional profile information;
Text posts and status updates;
Stories and published user content;
Image uploads;
Native video uploads;
Embedded YouTube content;
Audio uploads, including music, podcast clips, and voice recordings;
User audio players;
File uploads and file sharing;
Groups, group moderators, and group privacy controls;
Direct user messaging;
Follow requests and user connections;
Community-based promotional content by platform members;
Reporting tools, data export tools, and data deletion tools.

CNCTASPHR does not use targeted advertising, behavioral advertising, or cross-site targeted marketing. Promotional activity on the Platform is community-based and must comply with these Terms and any applicable platform policies.

CNCTASPHR does not pre-screen all user content before it appears on the Platform. However, we reserve the right to review, restrict, remove, disable access to, or take other action regarding content or accounts when we believe such action is necessary to protect users, enforce these Terms, comply with law, respond to reports, address copyright concerns, or preserve the integrity of the Platform.

The Platform is not intended for unlawful use or distribution in jurisdictions where access or use would violate applicable law.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to:

Provide accurate account information;
Keep your login credentials secure;
Notify CNCTASPHR if you believe your account has been compromised;
Use the Platform only for lawful purposes;
Respect the rights, privacy, and safety of other users.

CNCTASPHR is not responsible for losses caused by unauthorized account access resulting from your failure to protect your login information.

4. Intellectual Property Rights

Company Property

All source code, software, databases, design elements, graphics, logos, trademarks, service marks, text, layout, interface elements, and Platform functionality are owned by CNCTASPHR or its licensors, except for User Content submitted by users.

Users are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for lawful personal, professional, community, or business-related use in accordance with these Terms.

No part of the Platform may be copied, reproduced, reverse-engineered, distributed, sold, exploited, or used to create a competing service without prior written consent from CNCTASPHR.

5. User-Generated Content

Users may post, upload, publish, transmit, store, display, or share content through the Platform, including but not limited to text, images, videos, audio, music, podcast clips, voice recordings, files, stories, group posts, profile information, messages, comments, and other materials (“User Content”).

You retain ownership of your User Content.

By submitting User Content to the Platform, you grant CNCTASPHR a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, transmit, adapt, and format your User Content solely for the purpose of operating, providing, securing, improving, and promoting the Platform and its features.

This license does not give CNCTASPHR ownership of your User Content. It allows the Platform to make your content available according to your account settings, group settings, privacy settings, and the normal operation of the Platform.

You represent and warrant that:

You own or have the necessary rights, licenses, permissions, or consents to upload or share your User Content;
Your User Content does not infringe copyrights, trademarks, privacy rights, publicity rights, or other third-party rights;
Your User Content does not violate applicable law;
Your User Content is not defamatory, fraudulent, threatening, abusive, exploitative, obscene, or otherwise unlawful;
Your User Content does not contain malicious code, spyware, viruses, or harmful files.

You are solely responsible for your User Content and for any consequences resulting from posting, uploading, transmitting, or sharing it.

CNCTASPHR assumes no liability for User Content posted by users.

6. Copyright, Music, Audio, and Media Uploads

Because CNCTASPHR allows users to upload and share media, including audio, music, videos, images, files, and other creative works, users must only upload content they own or have permission to use.

You may not upload, post, stream, share, or distribute copyrighted material unless:

You are the copyright owner;
You have permission or a valid license;
Your use is otherwise permitted by law.

CNCTASPHR may review copyright complaints, remove or restrict access to allegedly infringing content, disable repeat infringer accounts, and take other appropriate action.

7. Prohibited Conduct

You agree not to:

Use the Platform for unlawful, fraudulent, harmful, or abusive purposes;
Harass, threaten, intimidate, exploit, or harm other users;
Post content that promotes violence, illegal activity, or credible threats;
Upload malicious code, viruses, spyware, or harmful files;
Access the Platform through unauthorized automated means, including bots, scrapers, crawlers, or data-harvesting tools;
Reverse engineer, disrupt, overload, or interfere with Platform security or functionality;
Impersonate any person, business, organization, public figure, or entity;
Create accounts using false or misleading identity information;
Circumvent account suspension, termination, or platform restrictions;
Upload or share content that infringes intellectual property rights;
Use the Platform to distribute spam, scams, phishing attempts, or deceptive promotions;
Collect user information without permission;
Use the Platform in a way that violates another person’s privacy or legal rights.

Violation of this section may result in content removal, account restrictions, suspension, termination, reporting to appropriate authorities, or legal action where appropriate.

8. Community Advertising and Promotional Content

Businesses, professionals, creators, and users may promote products, services, projects, or community activity within the Platform only in ways permitted by CNCTASPHR and these Terms.

CNCTASPHR does not provide behavioral advertising, targeted advertising, or cross-site targeted advertising.

Promotional content must be lawful, truthful, non-deceptive, and respectful of users.

CNCTASPHR is not responsible for transactions, agreements, payments, disputes, services, goods, or communications between users, businesses, creators, advertisers, sponsors, or third parties.

9. Reporting, Moderation, and Platform Safety

Users may report content, accounts, profiles, groups, messages, or other activity that they believe violates these Terms, Community Standards, copyright rules, or applicable law.

CNCTASPHR may review reports and take action at its discretion, including but not limited to:

No action;
Content warning or restriction;
Content removal;
Account warning;
Temporary suspension;
Permanent account termination;
Restriction of certain features;
Referral to appropriate legal authorities where required or appropriate.

Moderation decisions are made to protect users, maintain platform integrity, comply with law, and enforce these Terms.

Where available, users may contact CNCTASPHR to ask questions about moderation decisions or request review of an action taken against their account or content.

10. Data Export, Data Deletion, and Privacy Rights

CNCTASPHR provides users with tools that may allow them to export account data or request deletion of account data through their profile or account settings.

Use of the Platform is also governed by our Privacy Policy and Cookie Policy, which explain how information is collected, used, stored, and protected.

Certain information may be retained when necessary to comply with legal obligations, resolve disputes, enforce these Terms, protect users, prevent fraud or abuse, maintain security, or preserve records required by law.

11. Account Suspension and Termination

CNCTASPHR reserves the right to:

Suspend or terminate accounts;
Remove, restrict, or disable access to User Content;
Deny access to the Platform;
Restrict certain Platform features;
Prevent re-registration following termination;
Take action necessary to protect users, the Platform, or legal rights.

CNCTASPHR may take such action if we believe you have violated these Terms, violated applicable law, infringed third-party rights, created risk for users, abused Platform features, or acted in a way that may harm the Platform or its community.

Termination does not waive any rights or remedies available to CNCTASPHR under law or equity.

11A. Account Setup Fee and Payment Terms

CNCTASPHR requires a one-time, non-refundable account setup fee of $8.99 to complete registration and access the Platform. This fee is charged during the registration process and must be successfully processed before an account verification link is issued. The account setup fee is non-refundable, including if a user chooses not to complete registration, fails to verify their email address, violates Platform rules, is suspended, is terminated, or elects not to use the Platform after payment. CNCTASPHR may, at its discretion, waive the account setup fee for certain users as a courtesy, promotion, administrative exception, or goodwill gesture. A waiver does not create a right to future waivers and does not modify these Terms for other users.

12. Third-Party Content and Links

The Platform may contain links, embedded content, or references to third-party websites, services, videos, media, or resources, including embedded YouTube content.

CNCTASPHR does not control and is not responsible for third-party websites, services, content, policies, or practices.

Your use of third-party services is governed by their own terms and policies.

13. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CNCTASPHR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
UNINTERRUPTED OR ERROR-FREE OPERATION;
SECURITY FROM UNAUTHORIZED ACCESS OR DATA LOSS.

CNCTASPHR does not guarantee that the Platform will always be available, secure, accurate, complete, uninterrupted, or free from errors, viruses, or harmful components.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

CNCTASPHR SHALL NOT BE LIABLE FOR:

INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
LOSS OF DATA;
LOSS OF PROFITS;
BUSINESS INTERRUPTION;
LOSS CAUSED BY USER CONTENT;
LOSS CAUSED BY THIRD-PARTY SERVICES;
UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR CONTENT.

TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

The amount paid by you to CNCTASPHR in the preceding twelve (12) months; or
$100 USD.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, CNCTASPHR’s liability will be limited to the fullest extent permitted by law.

15. Indemnification

You agree to defend, indemnify, and hold harmless CNCTASPHR, its owners, affiliates, officers, employees, contractors, agents, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, or expenses, including reasonable attorneys’ fees, arising from or related to:

Your use of the Platform;
Your violation of these Terms;
Your User Content;
Your violation of any law or regulation;
Your violation of third-party rights;
Your interactions, transactions, or disputes with other users or third parties.

16. Privacy and Cookies

Use of the Platform is governed by our Privacy Policy and Cookie Policy.

These policies are incorporated into these Terms by reference.

17. Dispute Resolution

Informal Resolution

Before initiating a formal claim, you and CNCTASPHR agree to attempt to resolve disputes through good-faith informal negotiation for at least thirty (30) days.

Binding Arbitration

Except where prohibited by law, disputes shall be resolved by binding arbitration on an individual basis.

No class actions;
No representative proceedings;
No consolidated claims unless both parties agree;
Arbitration is limited to individual claims.

Claims relating to intellectual property rights, unauthorized access, misuse of the Platform, or requests for injunctive relief may be brought in court.

Nothing in this section limits rights that cannot be waived under applicable law.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Except where prohibited by applicable law, exclusive jurisdiction and venue shall lie in the state or federal courts located in Texas.

Users may also have rights under the laws of their country, state, province, or region that cannot be waived by these Terms.

19. Electronic Agreement

By using the Platform, you consent to:

Electronic communications;
Electronic records;
Electronic signatures;
Electronic delivery of notices, updates, and policy changes.

You waive rights requiring physical signatures or paper documentation to the extent permitted by law.

20. Modifications to These Terms

CNCTASPHR may modify these Terms from time to time.

When changes are made, the “Last Updated” date will be revised. Continued use of the Platform after updated Terms are posted constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must stop using the Platform.

21. Severability

If any provision of these Terms is found invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

22. Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, DMCA Policy, Community Standards, and any other policies referenced by CNCTASPHR, constitute the entire agreement between you and CNCTASPHR regarding use of the Platform.
