Terms of Service
These legal terms (“Legal Terms”) are a binding agreement between you (“you”) and CNCTASPHR (“Company,” “we,” “us,” “our”), governing your access to and use of our websites and related products/services (the “Services”). If you do not agree to these Legal Terms, do not use the Services.
AGREEMENT
Age requirement: You must be 21 or older to join. If we find you are underage, we will ban your account and delete profile data; persistent attempts to access the Services as a minor (e.g., fake profiles) may be reported to authorities.
We operate CNCTASPHR and related Services that link to these Legal Terms. Contact us at support@cnctasphr.com. By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by these Legal Terms.
We may update these Legal Terms at any time. Changes are effective when posted, as reflected by the “Last updated” date. Continued use after changes means you accept the updated terms.
We recommend printing or saving a copy of these Legal Terms for your records.
1. Our Services
Information on the Services is not intended for use or distribution where unlawful or where such use would subject us to registration within that jurisdiction. Users who access from other locations do so on their own initiative and are responsible for compliance with local laws.
2. Intellectual Property Rights
Our intellectual property
We (or our licensors) own all intellectual property in the Services, including source code, databases, functionality, software, website designs, audio, video, text, photos, and graphics (“Content”), and trademarks, service marks, and logos (“Marks”). The Content and Marks are provided “AS IS” for your personal, non-commercial use or internal business purpose only.
Your license to use the Services
Subject to these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download/print portions of Content you properly access for personal, non-commercial or internal business use.
Except as expressly permitted, you may not copy, reproduce, aggregate, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks without our prior written permission. Your submissions
By sending us questions, comments, ideas, or feedback (“Submissions”), you assign all IP rights in the Submissions to us and authorize unrestricted lawful use without acknowledgment or compensation. You are responsible for what you submit and warrant you have the rights to do so; you waive moral rights to the extent allowed by law.
3. User Representations
By using the Services, you represent and warrant that: (1) you have legal capacity and agree to these Legal Terms; (2) you are not a minor in your jurisdiction; (3) you will not access via automated/non-human means; (4) you will not use for illegal/unauthorized purposes; and (5) your use complies with applicable laws. Providing untrue or incomplete information may result in suspension/termination.
4. Prohibited Activities
You agree not to, for example: scrape or compile data without permission; attempt to obtain sensitive credentials; interfere with security features; disparage or harm the Services; harass, abuse, or harm others; misuse support; break laws; unauthorized frame/link; upload viruses, spam, or disruptive content; run automated posting/mining tools; remove proprietary notices; impersonate others; deploy spyware/PCMs; overload networks; threaten staff; bypass access controls; copy/reverse engineer the software (except as permitted by law); use bots/cheats; create accounts under false pretenses; or use the Services to compete or for unapproved commercial endeavors.
5. User-Generated Contributions
Note as provided: “The Services does not allow users to submit or post content.” (If Contributions are enabled, they may include text, media, comments, suggestions, or personal information viewable by other users and third-party sites.)
6. Contribution License
We may access, store, process, and use information and personal data you provide along with your settings/choices. By submitting suggestions/feedback, you allow us to use and share such feedback for any purpose without compensation. You retain ownership of your Contributions and associated IP rights; however, you are solely responsible for them and agree to hold us harmless from claims arising from your Contributions.
7. Services Management
We may monitor violations; take appropriate legal action; refuse/restrict/disable access to Contributions; remove burdensome files; and otherwise manage the Services to protect rights and ensure proper functioning.
8. Term and Termination
These Legal Terms remain in effect while you use the Services. We may deny access without notice for any reason (including breaches), terminate or suspend accounts, and pursue legal remedies. If terminated/suspended, you may not register a new account.
9. Modifications and Interruptions
We may change or remove content at any time without notice and are not obligated to update information. Availability is not guaranteed; maintenance or issues may cause downtime. We have no liability for unavailability and no obligation to provide corrections, updates, or releases.
10. Governing Law
These Legal Terms are governed by the laws of the United States. You and CNCTASPHR agree that courts in Texas have exclusive jurisdiction over disputes arising from these Legal Terms.
11. Dispute Resolution
Informal negotiations
Before arbitration, Parties will negotiate in good faith for at least 30 days upon written notice.
Arbitration limits
To the fullest extent permitted by law: (a) no class arbitration; (b) no representative capacity claims; (c) proceedings are limited to the Parties. Exceptions: IP rights enforcement/validity, theft/piracy/privacy/unauthorized use claims, or injunctive relief may proceed in court. If any arbitration clause is unlawful, such disputes proceed in a court of competent jurisdiction as above.
12. Corrections
Information on the Services may contain errors or omissions. We may correct or update information at any time without notice.
13. Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). We are not responsible for errors, injuries/damages from access/use, unauthorized access to servers/data, interruptions, malware transmission, or losses from content used via the Services. We do not endorse third-party products/services or linked sites.
14. Limitations of Liability
IN NO EVENT SHALL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFIT, REVENUE, DATA). OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY. Some jurisdictions do not allow certain limitations; those limits may not apply to you.
15. Indemnification
You agree to defend, indemnify, and hold us (and our affiliates, officers, agents, partners, and employees) harmless from claims, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, breach of these Legal Terms, misrepresentations, infringement of third-party rights, or harmful acts toward other users. We may assume exclusive defense at your expense.
16. User Data
We may maintain data you transmit or that relates to your activity for performance and operations. You are responsible for your data. We are not liable for loss/corruption of such data.
17. Electronic Communications, Transactions, and Signatures
Visiting the Services, emailing us, and completing forms constitute electronic communications. You consent to electronic communications and records satisfying legal writing requirements. YOU AGREE TO ELECTRONIC SIGNATURES/CONTRACTS/ORDERS/NOTICES. You waive rights requiring non-electronic records or original signatures.
18. Miscellaneous
These Legal Terms and posted policies are the entire agreement. Failure to enforce a provision is not a waiver. We may assign rights/obligations at any time. We are not liable for causes beyond our control. If any provision is unlawful, void, or unenforceable, it is severed without affecting the remainder. No partnership, employment, or agency is created. These terms will not be construed against us as drafter. You waive defenses based on electronic form and lack of signatures.
